Case Study

Background: An award-winning UK-based digital communications supplier had a unique opportunity to acquire its US distributor at a competitive price; a business it understood & knew well having developed a close working relationship with it over several years.

Challenge: This opportunity required 3rd party fund-raising and the refinancing of the business’ existing loan book due to debt covenant restrictions; it also occurred at a time of stressed working capital due to the loss of the company’s two largest clients.

Solution: Mike worked with the management team to optimise working capital management and led the acquisition’s due diligence. He also sourced interest-only funding to refinance the business’ existing loan book, finance the acquisition and support the company’s forecast working capital requirements.

Benefit: In the face of a material working capital challenge, the company was able to take advantage of a unique opportunity to expand its US operations and build a platform for its future North American expansion at a competitive price. The refinancing & additional funding also provide it with capital to develop its 3-year strategy and to grow the business before taking on 3rd party equity finance.
